Joint Ventures
> A joint venture with a large private equity institution to acquire an oilfield services company, which required working with counsel and tax advisors in six countries to structure, negotiate and document many transactions including acquisition, master service agreements, international leasing and branch operations, international tax structuring and anti-competition board filings.

Oil & Gas
> Review and negotiation of Master Service Agreements for both E&P and service companies.

Purchase and Sale Transactions
> Lead counsel for partial sale of ownership interests and structuring of new partnership for a maritime transaction.
> An oilfield service group acquisition of two international oilfield service companies.
> The sale of ownership interests in a vertical and horizontal well drilling service company.
> Numerous asset purchases and sales.

> Review and negotiation of hundreds of commercial contracts, leases and non-disclosure agreements.
> Entity Formation and partnership agreements.

Litigation Management
> Lead in-house counsel on numerous state and federal litigation matters, managing discovery and client case strategy.
